Babbitt Family Association

BYLAWS

ARTICLE I:

NAME, This family organization shall be known as the "Babbitt Family Association".

ARTICLE II:

OBJECTIVES, The objectives of this Association shall be to strengthen the ties of fellowship and kinship between living members of the family, to maintain family unity through frequent association of family members in a social way and to perpetuate the memory and genealogy of the descendants of Edward Bobet and the ancestors of the Babbitt families in the United States of America and other countries. These objectives will be carried out by combining the resources and efforts of the members of the family in performing genealogical research, and by unifying all genealogical, historical and biographical research necessary for the compilation of complete and accurate family records. This Association shall be dedicated in preserving the Babbitt family heritage.

ARTICLE III:

MEMBERSHIP, All lineal descendants of Edward Bobet in the United States of America and other countries are eligible for membership. Relatives including Spouses of descendents of Edward Bobet are eligible for associate membership but may not hold any elected office. All spouses of members in good standing are automatically enrolled as associate members free of charge in the association if they so choose. Any person who is eligible, may become a member of the family organization by contacting the President, Vice President, Membership Chairperson or Treasurer and by paying the annual dues required to sustain membership.

ARTICLE IV:

MEETINGS, The meetings of the family organization shall consist of a biannual meeting starting in the year 2000 and such other meetings and reunions as may be organized on a local, state or regional basis. The biannual meeting shall be held at a time and place determined by the vote of a majority of the members present at the preceding biannual meeting. The latest revised edition of Robert’s Rules of Order shall govern this Association in all cases to which they apply and insofar as they are not inconsistent with these Bylaws.

ARTICLE V:

OFFICERS, The elected officers of this Association shall consist of a President, Vice President, Correspondence Secretary, Membership Chairperson and Treasurer, who shall constitute the Executive Committee. The elections of officers shall be held in connection with every second biannual meeting of this Association. Vote will be by secret ballot. The terms of office shall begin at the close of the business session at which the officers are elected, and shall cover a period of four years. All officers shall be eligible for reelection. Failure to hold the biannual meeting or any election of officers shall not disorganize the family organization. If a vacancy occurs in any of the elected offices, the Executive Committee shall serve as a nominating committee and shall hold a special election within 60 days of the vacancy. The appointed officers of this Association shall consist of a Family Historian, Webmaster, Newsletter Editor, Volunteer Coordinator, Reunion Chairperson and Project Coordinator. The Executive Committee shall make these appointments.

ARTICLE VI:

COMMITTEES, The Executive Committee shall set up committees and make special assignments as necessary in administering the programs of this Association. Committee appointments and special assignments may be temporary or permanent, but such appointments or assignments shall be considered valid at the time new elections of officers are held.

ARTICLE VII:

AMENDMENTS, These articles may be amended at any biannual or scheduled meeting of this Association by a two-thirds vote of the members present and voting, provided that notice of the proposed amendment shall have been given in writing at the previous meeting.

ARTICLE VIII:

DISSOLUTION , In the unlikely event of the dissolution of this Association, all funds, records and other assets of the Association shall be transferred to a non-profit organization as determined by the Executive Committee at the time of dissolution. None of these funds, records or assets shall inure to the benefit of any individual member or members of the Association.

DUES, The dues per member shall be as follows: one(1) year - $15.0 0 U.S.; two (2) years - $28.00 U.S.; three (3) years - $40.00 U.S.  Additional contributions may be requested according to the financial needs of the association in administering its programs, and contributions and or bequests are acceptable at any time in the name of the "Babbitt Family Association".  Dues shall be payable at the time of initial membership in the association, and are due on the one (1), two (2), three (3) year anniversary of the initial membership, depending upon which membership plan a member has selected.  Dues for members living in countries other than the U.S. shall be remitted in U.S. dollars.

ARTICLE X:

BENEFITS, All members in good standing shall be allowed the use of an e-mail address attached to the BABBITT.Org domain for their private use, provided its use is in accordance with the following guidelines: E-mail addresses must be considered to be in good taste and not contain any sexual, profane or otherwise abusive connotations. Online conduct should be guided by common sense and basic etiquette. Members may not: post, transmit, promote, or distribute content that is illegal, transmit or facilitate distribution of content that is harmful, abusive, racially or ethnically offensive, vulgar or sexually explicit. The Babbitt Family Association reserves the right to refuse or cancel the e-mail address of any member that it considers in violation of these guidelines. The Babbitt Family Association also reserves the right to make changes to these guidelines at anytime and members agree to be bound by any such changed guidelines.

ARTICLE XI:

DUTIES OF OFFICERS,

Elected:

Section 1: Executive Committee, It shall be the duty of the Executive Committee to represent the family organization during the interval between biannual meetings, to recommend the time and place of the biannual meeting, to determine the order of business and approve the program for the biannual meeting, to fill official vacancies until the next biannual meeting, to appoint a nominating committee for officers at least three months in advance of a given election, and to perform such other work as may be delegated to the Committee by the Association.

Section 2: President, It shall be the duty of the President to preside at all meetings of the Association, to preside at all meetings of the Executive Committee, and to exercise general supervision over the Association. It shall be the duty of the President to call special meetings of the Executive Committee as necessary for the purpose of carrying on the work of the Association during the period between biannual meetings. The President shall submit to the Association at the biannual meeting a report of all official acts of the Executive Committee, together with any other information and recommendations he may deem important.

Section 3: Vice President, It shall be the duty of the Vice President to carry out the policies of the Association by developing and administering specific programs, subject to the approval of the Executive Committee. It shall be the duty of the Vice President to assist and counsel the President on all matters pertaining to the activities of the Association. It shall be the duty of the Vice President to act on behalf of the President in his absence.

Section 4: Correspondence Secretary, It shall be the duty of the Correspondence Secretary to maintain the correspondence records of the Association, and to act as the initial point of contact for queries to the Association. The Correspondence Secretary will ensure that letters are promptly forwarded to the appropriate member of the Executive Committee for action. The Correspondence Secretary will also keep accurate minutes of the proceedings of all meetings of the Association and of the Executive Committee, and will perform such other secretarial duties as the President or Executive Committee may direct.

Section 5: Membership Chairperson, It shall be the duty of the Membership Chairperson to maintain the membership records of the Association, and to direct the efforts to advertise for new members. Assistants may be selected as necessary, subject to the approval of the Executive Committee, and will be organized as a permanent Membership Committee within the Association.

Section 6: Treasurer, It shall be the duty of the Treasurer to maintain the financial accounts of the Association, including the collection of annual membership dues and an accounting of all disbursements made by, or in the name of the Association. The Treasurer will present a financial report at the first business session at the biannual meeting and will provide interim reports in each issue of the Newsletter.

Appointed:

Section 7: Family Historian, It shall be the duty of the Family Historian to maintain a master file of all records of the Association, including Family Group Sheets, a card index file of all Babbitt descendants and their spouses, biographies, photographs, and reference material. It shall be the duty of the Family Historian to supervise and direct the compilation and writing of biographical records, family histories, and personal histories of Babbitt progenitors and descendants, and to serve as Senior Editor of any and all genealogical and historical books published by the Association. Assistants may be selected as necessary, subject to the approval of the Executive Committee, and will be organized as a permanent History Committee within the family organization.

Section 8: Webmaster, It shall be the duty of the Webmaster to maintain the Babbitt Family Association Website. Assistants may be selected as necessary, subject to the approval of the Executive Committee, and will be organized as a permanent Website Committee within the Association.

Section 9: Newsletter Editor, It shall be the duty of the Newsletter Editor to publish a Newsletter of the Association at regular intervals as determined by the Executive Committee. The Newsletter Editor may select assistants, subject to the approval of the Executive Committee, to form a permanent Newsletter Committee. The Newsletter Committee may negotiate a contract with a private commercial printing firm, and may use the organization's funds to offset the costs of printing and postage.

Section 10: Volunteer Coordinator, It shall be the duty of the Volunteer Coordinator to recruit volunteers, place volunteers in suitable committees in the best interest of the volunteer and the Association, monitor the well being of the volunteer, and to direct the efforts to advertise for new volunteers.

Section 11: Project Coordinator, It shall be the duty of the Project Coordinator to Coordinate special short-term projects when they arise and performing all task needed for each project. Assistants may be selected as necessary, subject to the approval of the Executive Committee, and will be organized as a permanent History Committee within the Association.

Section 12: Reunion Chairperson, It shall be the duty of the Reunion Chairperson to coordinate the organization and activities surrounding the biannual meetings and any other meetings or reunions that may be organized on a local, state or regional basis. The Reunion Chairperson shall make use of, and have presiding authority over, the Volunteer Coordinator and Project Coordinator, as required, in order to accomplish any assigned activities.
